Terms & Conditions
The agreement between you (the client) and Brand Catalyst — covering our services, payment, retainer plans and your rights — written in plain English.

1. Parties and agreement
These Terms & Conditions ("Terms") apply between Brand Catalyst, a web design studio trading in South Oxfordshire, England ("we", "us", "the studio"), and any individual or business ("you", "the client") that engages Brand Catalyst for web design or related services.
By commissioning work from us — whether verbally, by email, via WhatsApp, or by making a payment — you agree to these Terms. A formal written contract or proposal supersedes these Terms where one exists.
2. Services
Brand Catalyst provides web design, web development, search engine optimisation (SEO), local search presence setup, copywriting and associated digital services. The specific deliverables for your project are agreed before work begins, either through a written proposal, email exchange, or a WhatsApp conversation.
Our service packages are as follows (current pricing — subject to change with 30 days' notice to existing clients):
- Foundation — £250 upfront build fee + £80/month retainer
- Catalyst — £500 upfront build fee + £125/month retainer
- Scale — from £1,500 upfront build fee + £175/month retainer
Custom project scopes may carry different fees, agreed in writing.
3. Free mockup
Every project begins with a free mockup — a real design preview of your homepage. The mockup is provided at no cost and with no obligation. You are under no obligation to proceed with a paid project after viewing the mockup.
The mockup remains the intellectual property of Brand Catalyst until the initial build fee has been paid in full.
4. Payment terms
Build fee: The upfront build fee is payable before development begins. For most projects this is invoiced upon your approval of the mockup and confirmation that you wish to proceed. We accept bank transfer (BACS). Payment is due within 7 days of invoice.
Monthly retainer: The retainer covers ongoing hosting, maintenance, security updates, minor content edits and support. The first monthly payment is due on the date your website goes live. Subsequent payments are due monthly on the same date. We will issue an invoice each month.
Late payments: If a payment is more than 14 days overdue, we reserve the right to suspend your website until the outstanding balance is cleared. We will always contact you before taking this step.
5. Cancellation and retainer termination
Either party may terminate the monthly retainer agreement by giving 30 days' written notice — by email to brandcatalystuk@outlook.com or in writing via WhatsApp. Your website will remain live throughout the notice period.
At the end of the notice period, your website will be taken offline unless you have arranged alternative hosting. You may request that we send you a packaged HTML export of your website files at no additional charge, so you can continue with a different provider.
Build fees are non-refundable once development has begun. Monthly retainer fees already paid are non-refundable.
We reserve the right to terminate the agreement immediately, without notice, if you breach these Terms or engage in conduct we reasonably consider harmful, unlawful or abusive.
6. Intellectual property
Your content: All text, images, logos and other materials you provide to us remain your property. By providing them, you confirm you have the right to use them and grant us permission to incorporate them into your website.
The website: Brand Catalyst retains ownership of the underlying code, templates and structural components of any website we build. You receive a perpetual, non-exclusive licence to use the website for your business while your retainer is active.
On leaving: If you cancel the retainer and request your files, we will provide a packaged HTML export of your website. This gives you ownership of the static files and content, allowing you to host the site independently or hand it to another developer. We retain ownership of the original source code and template framework.
We may feature your website in our portfolio and marketing materials. If you prefer we do not, please let us know in writing and we will respect your request.
7. Your responsibilities as a client
To allow us to complete your project efficiently, you agree to:
- Provide all required content (text, images, logo, brand guidelines) within an agreed timeframe.
- Respond to review requests and approve or request amendments within 7 working days.
- Ensure that any content you supply does not infringe third-party intellectual property rights.
- Ensure that the website content you ask us to publish complies with applicable laws.
Project delays caused by late supply of content or feedback are not the responsibility of Brand Catalyst.
8. Revisions and scope changes
Each project includes a reasonable number of revision rounds as agreed at the start. Requests for significant changes to scope after development has begun may incur additional charges, which we will agree with you before proceeding.
Minor text edits and small content updates are included in the monthly retainer at no extra cost. Large-scale redesigns or new pages are quoted separately.
9. Limitation of liability
Brand Catalyst will deliver our services with reasonable skill and care. However:
- We do not guarantee specific search engine rankings, conversion rates or revenue results.
- We are not liable for losses caused by website downtime, third-party hosting issues, or security breaches outside of our reasonable control.
- Our total liability to you in connection with any project or the services will not exceed the total fees paid by you to Brand Catalyst in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Confidentiality
Both parties agree to keep confidential any commercially sensitive information shared during the course of the project. This obligation survives termination of the agreement.
11. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or from our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to these terms
We may update these Terms from time to time. Existing clients will be given 30 days' notice of any material changes by email. Continued use of our services after that period constitutes acceptance of the updated Terms.
